Introduction
BY ACCEPTING THIS AGREEMENT OR ACCESSING OR USING THE SERVICE, YOU ARE AGREEING TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. If you do not agree, you may not use the Service.
This Agreement is between WisdomLabs.AI, Inc., a Delaware corporation (“Company”), operating under the brand name Viven.ai, and the individual or entity accessing or using the AskSila product (“User” or “you”) at https://www.asksila.com. These terms govern use of the AskSila Digital Twin platform, services, and related software ("Service").
1. Overview of Services
AskSila, a Viven.ai product, provides an AI-powered Digital Twin platform to help experts preserve and share knowledge and to help users ask questions through AI twins trained on real expertise. The Service integrates with supported systems to enable knowledge surfacing, automation, and personalized support.
2. Eligibility and Accounts
- You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.
- You must provide accurate account information and keep your credentials secure. You are responsible for activity that occurs under your account.
- You may not create accounts for others without permission, impersonate another person, or use the Service under a false identity.
- Experts are responsible for the accuracy of profile information, public listings, and knowledge they upload to their twin.
3. Restrictions
You may not:
- Sell, sublicense, or distribute the Service.
- Reverse engineer or create derivative works.
- Use the Service unlawfully or to compete with Viven.ai.
- Interfere with service integrity.
4. Ownership and Feedback
- Viven.ai (WisdomLabs.AI, Inc.) owns all rights to the Service.
- You retain ownership of your content and data.
- Feedback may be used for product improvements.
5. Fees and Payments
- Core features of the Service may currently be offered free of charge, as beta, or on a promotional basis.
- If you purchase paid features, fees and applicable taxes are disclosed at checkout or in a separate order confirmation.
- Future pricing changes are described in Section 18.
6. Support and Security
- We provide support through in-product channels and email as described on the Service.
- Security includes encryption in transit and at rest.
7. Trials
Trial services are “as is” and may be discontinued anytime.
8. Disclaimers
THE SERVICE, INCLUDING AI TWIN RESPONSES, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated twin responses may be inaccurate, incomplete, or outdated. They do not constitute professional, medical, legal, financial, therapeutic, or other regulated advice, and are not a substitute for consultation with a qualified professional or a live conversation with the named expert. See Section 20.
9. Confidentiality
We treat non-public account and conversation information in accordance with our Privacy Policy.
10. Indemnification
- Company indemnifies you for third-party intellectual-property claims alleging the Service itself infringes, subject to customary exclusions.
- You indemnify Company for claims arising from your content, your use of the Service, or your violation of these Terms.
11. Limitation of Liability
Liability is capped at fees paid in the prior 12 months, with higher limits for data disclosures.
12. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service or delete your account at any time. Company may suspend or terminate access as described in Section 17, including for violations of these Terms.
13. Marketing Communications
- To the extent permitted by applicable law, by creating an account, you agree that Company may send you product updates, educational content, and promotional communications by email or other non-SMS contact details you provide. Promotional SMS is not part of the account notification program in Section 19.
- You can opt out of marketing communications at any time using the unsubscribe link or your Account Settings. You will continue to receive essential service communications (such as security, billing, and legal notices), which cannot be opted out of.
- Your information is handled in accordance with our Privacy Policy.
14. General
- Governing law: California, USA.
- Assignment requires consent unless part of merger.
- Modifications with notice; continued use means acceptance.
- No liability for causes beyond control.
15. Prohibited Conduct
You may not, and may not permit any third party to, use the Service or any Company website in a manner that is unlawful, deceptive, fraudulent, abusive, or harmful.
Without limiting the foregoing, you may not:
- create accounts, submit forms, request demos, join waitlists, or access trials using bots, scripts, automated tools, fake identities, misleading information, disposable email addresses, or other deceptive methods;
- submit spam, phishing content, malware, fraudulent inquiries, unsolicited promotional content, or other abusive or misleading content;
- create multiple accounts, demo requests, trial requests, or submissions to evade eligibility requirements, usage limits, suspensions, payment obligations, or other restrictions;
- impersonate any person or entity or misrepresent your identity, authority, affiliation, company, contact information, or authorization to act on behalf of another person or organization;
- bypass or attempt to bypass rate limits, CAPTCHA, verification, authentication, authorization, billing, monitoring, abuse-detection, fraud-prevention, or security controls;
- scrape, crawl, harvest, enumerate, or extract data from the Service or Company websites except as expressly authorized in writing; or
- interfere with, disrupt, overload, probe, scan, test the vulnerability of, or attempt to gain unauthorized access to the Service, Company websites, systems, networks, or infrastructure.
16. Demos, Trials, Waitlists and Eligibility
Demo requests, trial access, beta access, waitlist submissions, promotional offers, and similar limited-access opportunities are provided at Company's discretion. Submitting a form, creating an account, or requesting access does not guarantee access to the Service.
Company may reject, limit, suspend, revoke, or condition access if Company believes a submission or account is automated, duplicative, fraudulent, abusive, incomplete, inaccurate, misleading, or otherwise inconsistent with these Terms.
Unless Company agrees otherwise in writing, each individual, company, domain, or organization may receive only one trial, beta access grant, promotional offer, or similar limited-access opportunity.
17. Enforcement
Company may investigate suspected violations of these Terms, abuse of the Service or Company websites, spam, fraudulent activity, or security risks.
Company may, without liability, suspend, disable, limit, block, restrict, or terminate access to the Service, Company websites, accounts, trials, demos, beta features, API access, integrations, forms, or communication channels if Company believes that activity associated with you violates these Terms, creates risk, involves spam or fraud, or abuses the Service or Company websites.
Company may also remove, reject, quarantine, or delete abusive submissions; block or rate-limit email addresses, domains, IP addresses, devices, networks, accounts, organizations, or other identifiers; require additional verification; and take other reasonable measures to detect, prevent, or respond to spam, fraud, abuse, security incidents, legal requests, or policy violations.
18. Future Paid Features and Pricing Changes
Certain features, products, services, integrations, functionality, or access levels may currently be provided free of charge, offered as beta or promotional features, or included without additional fees for a limited period of time.
Company reserves the right, at any time and in its sole discretion, to modify, limit, discontinue, reclassify, or begin charging fees for any previously free features, functionality, products, services, integrations, usage tiers, or access levels.
Company may also introduce new pricing models, subscription plans, usage-based fees, feature restrictions, or service limitations. Any applicable fees or pricing changes will be communicated through the Service, an Order, the Company website, or other reasonable means prior to becoming effective.
Continued access to or use of the applicable feature or Service after the effective date of such changes constitutes acceptance of the updated pricing or fees.
Nothing in these Terms obligates Company to continue offering any feature or functionality free of charge for any period of time.
19. SMS and phone numbers
This section describes our U.S. SMS program for the AskSila Service, including messaging required for A2P 10DLC compliance. For how we collect, use, retain, and share phone numbers, see Section 21 of our Privacy Policy.
19.1 Verification codes (OTP)
- When you enter your mobile number and request a sign-in or phone-verification code on https://www.asksila.com, we send a one-time passcode by SMS. This is transactional, security-related, and initiated by you.
- OTP messages are not marketing messages. They do not require the separate notification opt-in in Section 19.2.
- Example OTP message: “Your AskSilaverification code is 123456.” (Actual codes vary and expire quickly.)
19.2 Account notification SMS
- Optional account notification SMS (for example, alerts about new questions, review requests, expert updates, or conversation changes) are available only after account creation, in Settings at https://www.asksila.com/settings.
- Users see a separate, optional SMS consent checkbox, unchecked by default. The label states:
“I agree to receive account-related text messages from AskSila, including notifications about new questions, review requests, and conversation updates. Message frequency varies. Message & data rates may apply. Reply STOP to unsubscribe and HELP for help.”
- Notification SMS are one-way service alerts. They are not two-way SMS conversations, are not used for marketing campaigns, and are not used for promotional product announcements unless you separately opt in to email or other channels under Section 13.
- SMS consent is not a condition of account creation and is separate from acceptance of these Terms or the Privacy Policy.
- No notification SMS is sent unless the user checks that consent box. Users may opt out at any time by replying STOP or by disabling SMS notifications in Settings.
19.3 Example notification messages
Actual messages vary based on account activity. Examples of account notification SMS include:

Account notification messages may include: “Reply STOP to unsubscribe and HELP for help. Message & data rates may apply.”
19.4 Frequency, charges, and carriers
Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
19.5 No sale or sharing of mobile data for marketing
We do not sell or share your mobile phone number with third parties or affiliates for their marketing or promotional purposes. Phone numbers are shared only with our SMS delivery provider as necessary to send messages you request or opt into, as described in our Privacy Policy.
20. AI Twins and Expert Content
AskSilalets experts create AI twins that respond in a first-person style based on materials the expert provides. Unless an expert separately edits, chimes in, or otherwise responds, twin messages are generated by automated systems and may not reflect the expert's current views, availability, or judgment.
Experts are responsible for the knowledge they upload, the public information on their profile, and how they use review and training tools. Users are responsible for how they rely on twin responses and for seeking appropriate professional help when needed.
21. User Content and License
You retain ownership of content you submit to the Service. You grant Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, publish, display, and distribute your content solely to operate, secure, and improve the Service, including delivering conversations, showing public expert profiles, and enforcing these Terms.
You represent that you have the rights needed to submit your content and that your content does not violate these Terms or applicable law. Company may remove content that violates these Terms or that we reasonably believe creates risk for users, experts, or the Service.
22. Community Guidelines, Moderation, and Reporting
AskSila is a community platform. You are expected to interact respectfully and lawfully. Without limiting Section 15, you may not harass, threaten, spam, impersonate others, post unlawful content, or misuse twins to generate harmful, deceptive, or abusive material.
Users may report messages, profiles, or other content they believe violates these Terms. Reports may be reviewed by automated systems and by human moderators. We may remove or restrict content, lock conversations during review, suspend accounts, or take other enforcement action described in Section 17.
Report reasons available in the product include harassment or bullying, spam or scam, harmful or threatening content, off-topic or misleading content, and other concerns. We may preserve report metadata, message context, and moderation actions for safety, appeals, and legal compliance.
23. Public Profiles and Discovery
Experts may choose to make all or part of their profile discoverable on AskSila, including on Explore, public profile pages, search, and marketing surfaces. Information you publish publicly may be visible to anyone on the internet, indexed by search engines, and shared by other users.
You control much of this through profile and visibility settings (for example, whether you appear on Explore or publish a public booking link). Review your Settings and profile choices before posting identifying information, contact details, or sensitive knowledge to a twin or public profile.
24. Expert and Client Relationships
AskSila connects experts who operate twins with users who ask questions through those twins. A connection may be created through invites, onboarding, or in-product workflows. Experts may see conversations with connected users, review flagged responses, edit or chime in on twin answers, and use training tools to improve their twin.
Unless an expert personally responds, messages from a twin are AI-generated based on the expert's uploaded materials and settings. Users should not treat twin responses as confidential professional relationships, emergency services, or real-time access to the expert.
Experts are responsible for the content they upload and for reviewing high-risk conversations in their area of expertise. Users are responsible for the questions they ask and for obtaining any consents needed before sharing third-party information in a conversation.
25. Copyright and DMCA
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to support@asksila.com with: (1) your signature; (2) identification of the copyrighted work; (3) identification of the material claimed to be infringing and its location on the Service; (4) your contact information; (5) a statement of good-faith belief that use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized agent.
We may remove or disable access to reported material and terminate repeat infringers where appropriate. If you believe your content was removed in error, you may send a counter-notification with the information required by applicable law.
26. Dispute Resolution
Before filing a claim, you agree to contact us at support@asksila.com and try to resolve the dispute informally within 30 days.
Except for qualifying small-claims matters or requests for injunctive relief, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, rather than in court, unless you opt out within 30 days of account creation by emailing support@asksila.comwith subject line “Arbitration Opt-Out” and your account email.
Class action waiver: to the extent permitted by law, disputes must be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding.
